Terms of service

1. Who these terms apply to

1.1 These terms apply to every sale of goods by Food for Taste s.r.o., Štefánikova 879/5, 811 06 Bratislava, Slovakia, VAT ID SK2022540762 ("we", "us") to a business customer ("you") through bulkandtasty.com.

1.2 We sell only to businesses. By registering you confirm that you act in the course of your business, that you are registered for VAT in an EU member state, and that the person registering may act for the company. The consumer rules for distance contracts, including the consumer right of withdrawal, do not apply.

1.3 Different terms of your own do not apply, even if you refer to them, unless we have accepted them in writing.

2. Registration and account

2.1 You must register before you can see prices or order. We check the data you give, including your VAT ID in the EU VAT validation service (VIES). We decide on every registration by hand and may refuse it without giving a reason.

2.2 You promise that the data is correct and that you will keep it up to date. Your account is for your company. Keep your login private. You are responsible for orders placed through your account.

2.3 We may block or close an account that is misused, has false data, or has unpaid or reversed payments.

3. Products and information

3.1 We describe our products as accurately as we can: ingredients, allergens, nutritional values, origin and packaging. Photographs are for illustration. Freeze-dried fruit varies naturally in color, size and shape between batches.

3.2 The detailed information is in the product sheet or specification on the product page. You are responsible for checking that a product fits your use, including your own labeling and the rules of the country where you sell it.

4. Prices and VAT

4.1 All prices are in euro and without VAT. Your prices depend on your price level and on the quantity you order. Prices and special offers made to you are confidential; you may not pass them on.

4.2 Slovak customers pay Slovak VAT at the rate that applies to the goods (currently 19%).

4.3 For customers in another EU member state, the supply is exempt from Slovak VAT under the reverse charge rules, on condition that you give a valid VAT ID and the goods are transported to your member state. If your VAT ID is not valid, or the conditions are not met, we charge VAT, and you pay it.

4.4 We may correct an obvious price or stock error before we confirm your order.

5. Orders and contract

5.1 Showing a product on the website is an invitation to order, not an offer. Your order is your offer. The contract is made when we confirm the order by e-mail, or when we dispatch the goods, whichever is first.

5.2 We may refuse or limit an order, for example if goods are not available, if the order is not in line with these terms, or if your account has unpaid or reversed payments.

5.3 Quantities are in kilograms, or in full boxes where the product is sold in boxes. The weight of a full box is shown on the product page. Minimum order: 1 kg.

5.4 You can cancel an order free of charge only before we have dispatched it, and only with our agreement.

6. Samples

6.1 Each fruit is available as a small sample for EUR 10.00 excl. VAT. You can order one sample of each fruit per order. Delivery costs apply as for other orders. A sample is meant for testing and may not be resold.

7. Payment

7.1 Payment methods: the methods offered at checkout, processed by Stripe or Bank transfer. Payment terms: prepayment only. You pay when you place the order, and we dispatch the goods after we have received the payment. We send the invoice by e-mail; by ordering you agree to receive invoices electronically.

7.2 Because payment is made in advance, we dispatch the goods only after we have received it. If a payment is not completed, or is reversed later, we may cancel the order or stop further deliveries.

8. Delivery

8.1 We deliver as described in our shipping policy. Delivery times are estimates, not fixed dates.

8.2 Risk of loss passes to you when the goods are delivered to the delivery address you gave.

9. Checking the goods and claims

9.1 You must check the goods when you receive them. Visible damage and missing quantities must be noted on the carrier's delivery note and reported to us within 3 working days, with photographs.

9.2 Hidden defects must be reported without delay after you find them, and no later than 30 days after delivery, with the lot number, photographs and a short description.

9.3 If a claim is justified, we choose between a replacement, a credit note or a refund. Details are in our claims policy.

10. Quality and shelf life

10.1 At delivery, the remaining shelf life is at least 10 months. Keep the goods dry, closed and in the storage conditions on the label. We are not responsible for damage caused by wrong storage, opened packs or further processing after delivery.

10.2 Every delivery can be traced by lot number. Keep the lot number when you pass the goods on.

11. Retention of title

11.1 The goods stay our property until they are fully paid.

12. Liability

12.1 We are liable for damage as the law requires. Where the law allows it, our liability is limited to the foreseeable damage and, in total, to the price of the goods concerned. This does not limit liability for intent, gross negligence, injury to life or health, or where the law does not allow a limit.

12.2 We are not liable for a delay or failure caused by events outside our control (force majeure), such as natural disasters, strikes, transport disruption, official measures or supplier failures.

13. Personal data

13.1 We handle personal data as described in our privacy policy.

14. Governing law and disputes

14.1 Slovak law applies. The UN Convention on Contracts for the International Sale of Goods (Vienna Convention) does not apply.

14.2 Disputes will be decided by the competent courts of the Slovak Republic.

15. Final provisions

15.1 We may change these terms. The terms in force on the day of your order apply to that order. If a provision is invalid, the rest stays valid.

15.2 These terms are in English. A translation is only for convenience: if there is a difference, the English text decides.
